Terms of Service

1. Acceptance of Terms

By accessing or using People Diligence services, you agree to be bound by these Terms of Service and all applicable laws and regulations.

2. Services

People Diligence provides background screening, due diligence, and related compliance services as described in your service order or master agreement.

3. Client Obligations

Clients are responsible for obtaining all necessary consents and authorizations, providing accurate information, and using reports only for permissible purposes under applicable law.

4. Fees & Payment

Fees are as set out in your order form or pricing schedule. Invoices are due net-30 unless otherwise agreed. Late payments may accrue interest at the lesser of 1.5% per month or the maximum allowed by law.

5. Confidentiality

Each party will protect the other's confidential information using at least the same standard of care it uses for its own, and in no event less than reasonable care.

6. Intellectual Property

All reports, software, and methodologies remain the property of People Diligence. Clients receive a limited, non-transferable license to use reports for the requested purpose.

7. Disclaimers

Reports are based on information available from sources at the time of inquiry. People Diligence does not guarantee the accuracy of source data and is not responsible for decisions made based on reports.

8. Limitation of Liability

To the maximum extent permitted by law, People Diligence's aggregate liability under these Terms shall not exceed the fees paid in the 12 months preceding the claim.

9. Indemnification

Clients agree to indemnify People Diligence against claims arising from misuse of reports or violations of applicable law.

10. Termination

Either party may terminate for material breach with 30 days' written notice if not cured. Provisions that by their nature survive termination shall survive.

11. Governing Law

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws principles.
